Seeking corporate secretarial services support for your business?

You have come to the right place!

All businesses in Singapore, be it in the form of sole proprietorships, partnerships or companies, need to be in compliance with the many rules and regulations laid down by the Accounting and Corporate Regulatory Authority (“ACRA”).  Over the years, these rules have been changed and extended to such an extent that it can be difficult for the layman or new business owners to keep up with them.

It is for this very reason that businesses are finding it essential to engage the services of professional service providers who fully understand the local laws and regulations.

Our professional staff are just that…. being born and bred Singaporeans with years of industry experience and expertise.

What are the corporate secretarial services that we provide?

NOMINEE COMPANY SECRETARY According to ACRA’s guidelines, a Company Secretary is “an officer primarily responsible for administrative and reporting functions that are governed by the law. The Secretary should assist the directors to ensure that the company meets all its regulatory obligations”. Our certified Company Secretary has the expertise to see to it that your company is in full compliance with the Companies Act, leaving you time to concentrate on your core business.
ANNUAL RETURNS FILING All companies incorporated in Singapore are required to hold their Annual General Meeting (AGM) and file their Annual Returns under Section 175, Section 197 and Section 201 of the Companies Act. It is the responsibility of the directors to appoint individuals or the services of a corporate service provider with the required level of expertise to prepare a true and fair view of the company’s accounts to their shareholders. CorpSec’s vast experience with various industries is your best choice of service provider.
STRIKING OFF SINGAPORE COMPANY A company may, for one reason or another, find that it is necessary to cease its operations.  When that happens, it is best to apply for its name to be struck off the ACRA’s Register, rather than leave it dormant. By hiring CorpSec for the process, you can be assured that we will first ascertain that your business meets all the criteria for striking off before proceeding with an application.
XBRL FINANCIAL STATEMENT, CONVERSION AND FILING Under ACRA’s guidance, companies unlimited and limited by shares that are required to file their financial statements must prepare and file them in eXtensible Business Reporting Language (“XBRL”) format.  Insolvent companies also fall under this requirement. There are however, three categories of establishments that are exempted from doing so:

  • Banks, insurance companies and finance companies whose activities are regulated by the Monetary Authority of Singapore (MAS).
  • Companies that are allowed by law to prepare financial statements in accordance with accounting standards other than the Singapore Financial Reporting Standards or the International Financial Reporting Standards.
  • Private Companies that are solvent which are not required to file their financial statements with ACRA.

If your company is affected by this XBRL requirement, then CorpSec is equipped to assist you with that.
